[pt] Esta dissertação propôs-se a estudar a cláusula cross default à luz do direito brasileiro. Surgida na tradição jurídica dos países de Common Law, a cláusula assegura ao credor o direito potestativo de exigir antecipadamente a dívida ou mesmo de encerrar a relação contratual quando verificados determinados eventos (events of default) provenientes de outras relações obrigacionais do devedor, indicativos de um maior risco de descumprimento do contrato em que a cláusula foi inserida. A cláusula desempenha, assim, um importante papel de proteção do credor, mas a sua operatividade gera uma delicada situação para o devedor: o de que um evento relacionado a uma relação obrigacional específica contamine uma série de outras relações obrigacionais interligadas por meio de cláusulas cross default, o que, num efeito dominó, pode precipitá-lo numa situação de insolvência. Há, portanto, um natural tensionamento entre o papel de segurança do credor que a cláusula desempenha e os efeitos deletérios que ela pode gerar. Nesse contexto, considerando-se que a estipulação da cláusula decorre da autonomia negocial das partes, o principal questionamento que anima esta dissertação consiste em examinar se há limites para a sua estipulação. Para empreender essa análise, a dissertação está estruturada em três capítulos: o primeiro dedicado à estrutura da cláusula usualmente utilizada nos países de Common Law e que vem sendo importada para a realidade brasileira; o segundo, às funções que a cláusula desempenha no sistema jurídico brasileiro; e o terceiro, aos limites à autonomia negocial das partes, tanto na estipulação de cláusulas cross default quanto no exercício concreto da posição jurídica que ela assegura ao credor. A dissertação desenvolve-se por meio do método lógico-dedutivo, pautado na análise da bibliografia nacional e estrangeira sobre o tema.

[en] This dissertation sets out to study the cross-default clause under Brazilian law. Originating in the legal tradition of Common Law countries, this clause grants the creditor the discretionary right to demand early repayment of a debt or even to terminate the contractual relationship upon the ocurrence of certain events of default arising from other obligations of the debtor, which indicate a heightened risk of breach of contract in which the clause is inserted. The clause thus plays an important protective role for the creditor; however, its operation creates a delicate situation for the debtor: an event related to a specific obligation may effect a series of other obligations connected through cross-default clauses, potentially triggering a domino effect that may lead the debtor into insolvency. There is an inherent tension between the creditor s legitimate interest in security and the potentially harmful effects the clause may cause. In this context, and considering that the inclusion of such clause results from parties contractual freedom, the central question guinding this dissertation is wether there are limits to its stipulation. To address this issue, the dissertation is structured in three chapters: the first examines the structure of the clause as commonly used in Common Law jurisdiction and increasingly adopted in Brazil; the second analyzes the functions performed by the clause within Brazilian legal system; and the third explores the limits imposed on contractual freedom, both with regard to the stipulation of cross-default clauses and to the concrete exercise of the legal position they confer upon the creditor. The research is conducted using the logical-deductive method, based on the analysis of Brazilian and foreign legal scholarship on the subject.
