[pt] O trabalho tem por objetivo o estudo da problemática da responsabilidade
civil dos administradores de sociedades anônimas, sob a perspectiva da exoneração
de suas responsabilidades quando da aprovação, sem reservas, das demonstrações
financeiras e das contas da administração pela assembleia geral. Pretende-se
examinar a quitação dada aos administradores, analisando a sua extensão e os seus
efeitos, para, em seguida, avaliar de que forma a deliberação assemblear que
confere essa quitação pode ser invalidada. Por fim, planeja-se abordar as
repercussões da quitação e a sua interação com a ação de responsabilidade civil
contra os administradores prevista no art. 159 da Lei das S.A., apresentando
controvérsias existentes sobre o tema.
Resumo
[en] The focus of this work is to study the civil liability of the executive board
of corporations, from the perspective of the exoneration of their responsibilities
when the financial statements and management accounts are approved, without
reservations, by the general meeting. It is intended to examine the release given to
the management, analyzing its extent and its effects, to assess how the shareholders
resolution that grants this release can be invalidated. Finally, it is planned to address
the repercussions of the release and its interaction with the civil liability action
against the management provided for in art. 159 of the Law No. 6.404/1976,
presenting existing controversies on the subject.
